If a mortgage loan is rate locked, ViaNova has the right to determine in its sole discretion whether to purchase such mortgage loan based on, among other things, market conditions and completion of due diligence which is acceptable to ViaNova in its sole discretion. Any agreement by ViaNova to enter into any transaction, and the actual price to be paid for the above referenced mortgage loan is subject to adjustment based on, among other things, market conditions and the results and satisfactory completion of underwriting and due diligence, in the sole discretion of ViaNova and all terms of the ViaNova Seller Guide. ViaNova reserves the right at any time to decline to enter into the proposed transaction or to modify any terms of the proposed transaction for any reason without explanation and without any liability to you or your affiliates. The Seller further acknowledges that ViaNova purchases loans from the Seller exclusively on a secondary market basis, is not a “creditor” within the meaning of the Equal Credit Opportunity Act and its implementing regulation, Regulation B, and does not participate in any credit decision made by the Seller. The Seller’s decision to originate a mortgage loan shall not be contingent upon the mortgage loan being rate locked under the website or any agreement by ViaNova to purchase the mortgage loan, which agreement is expressly disclaimed by ViaNova. The Seller maintains at least one additional whole mortgage loan purchase agreement with a third-party purchaser, pursuant to which such third-party purchaser has agreed to purchase mortgage loans from the Seller. The Seller is not in default under any such purchase agreement and the mortgage loan being rate locked would be eligible for sale to such third-party purchaser pursuant to such purchase agreement.
Registered loan disclosure: The Seller acknowledges that ViaNova has no obligation to purchase loans that the Seller registers under the ViaNova Seller Guide. If a loan is rate locked, ViaNova has the right to determine in its sole iscretion whether to purchase such mortgage loan based on, among other things, market conditions and completion of due diligence which is acceptable to ViaNova in its sole discretion. The Seller further acknowledges that ViaNova purchases loans from the Seller exclusively on a secondary market basis, is not a “creditor” within the meaning of the Equal Credit Opportunity Act and its implementing regulation, Regulation B, and does not participate in any credit decision made by the Seller.
